The Senior Legal Counsel – Wholesale offers legal support to the Wholesale organization in United States and Canada on commercial, employment, regulatory, and operational issues. This role collaborates with business leaders to facilitate revenue-generating activities while managing legal risks and ensuring compliance. It also contributes to global initiatives led by the Global legal team. Operating in a regulated healthcare environment requires knowledge of specific legal considerations. This sole contributor role demands strong judgment and the ability to thrive in a fast-paced, matrixed setting.
Key Responsibilities
Provide legal advice for wholesale business activities, balancing revenue and risk.
Draft, review, and negotiate customer agreements, pricing policies, and incentives.
Ensure marketing and customer materials comply with legal and regulatory standards.
Assist procurement in negotiating vendor agreements.
Offer legal guidance on regulatory matters affecting wholesale operations, working with compliance teams.
Support select transactions and assist with disputes, coordinating with external counsel.
Advise on employment matters, collaborating with HR on agreements and policies.
Contribute to global legal projects and enhance legal processes and templates.
Ideal profile
Juris Doctor (JD) from an ABA-accredited law school and license with at least one U.S. state bar.
+7 years of relevant legal inhouse experience in wholesale or commercial sectors.
Experience in employment law and regulated industries.
Familiarity with pricing and rebate programs.
Transactional experience, including asset purchase agreements.
Experience in global and/or matrixed organizations.
Communication Skills: Ability to articulate complex legal concepts clearly to non-legal stakeholders and draft precise legal documents.
Negotiation and Conflict Resolution: Proficiency in leading negotiations and managing disputes effectively.
Leadership and Team Management: Capability to mentor junior staff and collaborate with cross-functional teams.
Adaptability and Critical Thinking: Flexibility in responding to changing legal environments and analyzing issues to develop strategic solutions.
Limited travel may be needed, and the role is based in Draper, Utah, requiring onsite presence three days a week.
